1. Acceptance of these Terms

These Terms & Conditions (“Terms”) govern your access to and use of the website operated at skinnyresearchlabs.com (the “Site”) and your purchase of any product listed on the Site (each, a “Product”). By accessing the Site, creating an account, or placing an order, you accept these Terms in full. If you do not agree, do not use the Site.

2. Eligibility

To use the Site or place an order, you must:

  • Be at least 21 years of age.
  • Be a qualified researcher — affiliated with a registered research facility or operating as an independent sole-proprietor researcher.
  • Be ordering for use within the 50 United States or the District of Columbia.

3. Research-use only

Every product offered for sale on the Site is sold strictly for in-vitro research and laboratory use by qualified researchers. By placing an order, you agree that:

  1. You are purchasing for use solely in laboratory research conducted by qualified researchers.
  2. You will not consume, ingest, inhale, inject, apply, or otherwise administer any Product to any human being or animal.
  3. You will not resell, transfer, donate, or otherwise distribute any Product to any third party for any human or veterinary use.
  4. You will store, handle, and dispose of Products in accordance with the Safety Data Sheet (SDS) provided with the Product and in accordance with all applicable laboratory safety regulations.

Statements made on the Site about Products have not been evaluated by the FDA. The Site is not intended to diagnose, treat, cure, or prevent any disease.

Without limiting the generality of the foregoing, you acknowledge that the use, sale, or distribution of any Product as a drug, food, dietary supplement, cosmetic, or medical device for human or veterinary consumption may constitute a “prohibited act” under 21 U.S.C. § 331 (Federal Food, Drug, and Cosmetic Act) and may implicate the labeling and import-for-export requirements of 21 CFR § 1.78.

4. Product codes & disclosure

Certain Products are listed on the Site under coded designations (e.g., “SRL-S1”) rather than by their chemical name. This practice is consistent with industry norms for research compounds. The full chemical identity, lot number, purity verification, and physical characteristics of every Product are disclosed in the Certificate of Analysis (COA) accompanying each shipment and made available within the Researcher Account at the time of purchase.

5. Orders, pricing & payment

All orders are subject to acceptance by us. Pricing is in US Dollars and excludes shipping. We may correct any pricing or typographical error before shipment and may cancel any affected order at our discretion. We accept Visa and Mastercard. By placing an order you authorize the charge.

6. Shipping & delivery

Shipping is governed by our Shipping & Refunds Policy. US-only shipping, 50 states and DC. Risk of loss passes to you upon delivery to the carrier.

7. All sales final

All sales are final. We do not accept returns. Damaged, missing, lost, or incorrect shipments are handled exclusively under the Shipping & Refunds Policy as a company-issued replacement or refund, not as a return.

8. Account responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity on your account. Notify us immediately of any unauthorized access.

9. Acceptable use

You agree not to use the Site to engage in any activity that violates applicable law, infringes intellectual property, transmits malicious code, or attempts to gain unauthorized access to any portion of the Site or its underlying systems.

10. Privacy

Your use of the Site is also governed by our Privacy Policy.

11. Trademarks

“Skinny Research Labs” and any associated logos are trademarks of Skinny Research Labs. All other trademarks are the property of their respective owners.

12. Disclaimers & warranties

The Site and all Products are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Products are intended for in-vitro research use only and are not warranted for any other purpose. Purity, composition, and other product characteristics are described in the COA provided with each shipment.

13. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Skinny Research Labs, its officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation lost profits, lost data, or lost goodwill, arising out of or in connection with these Terms, the Site, or any Product, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if Skinny Research Labs has been advised of the possibility of such damages.

In no event will our aggregate liability exceed the greater of (a) the amount you paid to Skinny Research Labs in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Skinny Research Labs from any claim or liability arising out of your breach of these Terms, your misuse of any Product (including any administration to a human or animal, by you or anyone you transferred the Product to), or your violation of any law.

15. Modifications

We may modify the Site, the Products, the pricing, the Terms, and any related policies at any time. The most current Terms will be posted on the Site with the “Effective” date.

16. Termination

We may, at our sole discretion, suspend or terminate your account and your access to the Site at any time, with or without cause, with or without notice.

17. Governing law & venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.

Before initiating any formal proceeding, you agree to provide Skinny Research Labs with written notice of the dispute via support@skinnyresearchlabs.com. Skinny Research Labs will have thirty (30) days from receipt to investigate and attempt to resolve the matter in good faith (the “Cure Period”) before any formal proceeding may commence.

18. Severability

If any provision is held invalid, the remaining provisions remain in full force and effect.

19. Entire agreement

These Terms, together with the Privacy Policy, the Shipping & Refunds Policy, and any other policies posted on the Site or incorporated by reference, constitute the entire agreement between you and Skinny Research Labs.
